General Terms and Conditions of Sale and Delivery

1. Scope

These General Terms and Conditions (“GTC”) apply to all sales, deliveries, and related services provided by SGK Engineering, unless otherwise expressly agreed in writing.

2. Prices and Payment

All prices are stated in EUR (€) and exclude applicable taxes unless otherwise specified.
Payment terms are indicated on the respective invoice.
The delivered goods shall remain the property of the seller until full payment has been received (retention of title).

3. Delivery Terms

Delivery shall be made Ex Works (EXW – Incoterms® 2020), unless otherwise agreed in writing.

4. Transfer of Risk

The risk of loss or damage to the goods transfers to the buyer upon collection at the seller’s premises.

5. Transport and Insurance

The seller shall not be responsible for transportation, insurance, or export formalities unless explicitly agreed otherwise in writing.

6. Liability

The seller shall not be liable for any indirect, incidental, or consequential damages arising from the use or resale of the goods, except where liability is mandatory under applicable law.

7. Inspection and Claims

The buyer is obliged to inspect the goods immediately upon receipt.
Any claims regarding defects or non-conformity must be submitted in writing within 3 (three) days of receipt of the goods.

8. Force Majeure

The seller shall not be liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, war, strikes, or supply chain disruptions.

9. Export Compliance

The buyer is solely responsible for complying with all applicable import, export, and customs regulations in the destination country.

10. Governing Law and Jurisdiction

These GTC shall be governed by the laws of the Federal Republic of Germany.
The exclusive place of jurisdiction for all disputes shall be Munich, Germany.
